These terms apply when you engage DAAG Innovations to design, build, redesign or maintain a website or related service. They sit alongside the specific quote or proposal agreed with you for your project — where the two differ, your individual quote takes precedence for the details of your project.
Getting started
Every project begins with a conversation about your business and what the website needs to achieve, followed by a tailored quote. Work begins once that quote has been agreed in writing. Payment terms, including any deposit required before work starts, are set out in your individual quote rather than fixed here, since they depend on the size and scope of the project.
The process
Projects generally follow the same four stages: discovery, design, build, and launch. You’ll be involved at each stage, with the chance to review and give feedback before we move forward. Revisions are included as part of your quote; the specific number of revision rounds is agreed with you upfront.
Content and materials
You’re responsible for providing accurate, lawful content (text, images, logos and other materials) for your website, and for making sure you have the right to use anything you supply. We’ll flag anything that looks like it might cause a problem, but the responsibility for supplied content sits with you.
Ownership, licensing and intellectual property
Once your project is paid for in full, you get full access to the completed website and can use it indefinitely. You’re free to edit it, move it to a different hosting provider, and bring in another developer to work on it.
You own all content you supply for your website — including your logos, images, domain names and other materials — and nothing in these terms affects that.
DAAG Innovations retains ownership and copyright in the original design, code, layouts, components, systems, templates and other intellectual property we create in building your website. Payment for your project gives you a perpetual, worldwide, royalty-free licence to use and modify your completed website for your own business. Payment alone does not transfer our copyright or other intellectual property to you; any transfer of our intellectual property would need to be agreed separately, in writing.
This licence covers your own website — it does not extend to reselling, distributing or commercially reusing our underlying designs, code, templates or systems for other, unrelated websites. We remain free to reuse our own general techniques, reusable code, components and development methods on other projects.
Some elements — such as third-party themes, plugins, fonts, stock imagery or other licensed materials — remain subject to their own licence terms, which will be made clear if they apply to your project. Where we manage hosting or domain services on your behalf, the specific arrangement (including what happens if that arrangement ends) is set out in your quote.
We may show completed websites in our portfolio and marketing, unless we’ve agreed confidentiality with you in writing. See also “Intellectual property and unauthorised use” below for how we address unauthorised use of our intellectual property.
Support after launch
We remain available for updates, guidance and fixes after your website goes live, as described on our website maintenance page and in your individual quote. This isn’t unlimited free work — ongoing support beyond what’s agreed is quoted separately.
Cancellation
If you need to pause or cancel a project partway through, get in touch as early as possible. Any work already completed, and time already committed, is payable up to that point. Specific cancellation terms for your project are set out in your quote.
Liability
We take care to deliver websites that work reliably, but we can’t guarantee a website will be completely free of faults, or guarantee specific business outcomes such as enquiry volumes or search rankings, since these depend on many factors outside our control. Our liability in connection with a project is limited to the amount paid for that project. Nothing in these terms excludes or limits liability where that would be unlawful — including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Communication
Enquiries are usually replied to within 24 hours. Project communication happens directly with DAAG Innovations — there’s no call centre or account-management layer in between.
Intellectual property and unauthorised use
Except where otherwise stated, or where third-party materials are used under licence, original content created and owned by DAAG Innovations — including original written content, graphics, branding assets, website elements, software and code, and other copyright-protected material — remains protected by applicable intellectual property law.
Visitors and third parties must not reproduce, republish, commercially exploit, distribute or substantially copy protected DAAG Innovations material without our prior written permission, except where permitted by law.
Where we reasonably believe our intellectual property has been used without permission, DAAG Innovations reserves the right to:
- request that the material is removed;
- contact the website owner, hosting provider or relevant platform;
- seek to agree an appropriate commercial licence where suitable;
- pursue compensation or damages where legally available;
- seek an injunction or other appropriate legal remedy; and
- seek recovery of legal costs where such costs are recoverable.
Unauthorised commercial use may result in enforcement action, and DAAG Innovations may seek appropriate compensation, damages, licensing fees or other remedies available under applicable law.
Nothing in this section limits any statutory exceptions or other lawful uses permitted under copyright law.
Governing law
These terms are governed by the law of England and Wales.
